Terms of Service
The short version
- ZorvGuard is sold to schools. The school agrees to these terms, and its staff use ZorvGuard on the school's behalf.
- Schools must tell students and families that ZorvGuard is used, and use it only for educational and safety purposes on devices they manage.
- Student data belongs to the school. We use it only to provide the service, as our Privacy Policy describes.
- Filtering and safety alerts help, but no tool catches everything. They don't replace adult supervision or emergency services.
1. The agreement
These Terms of Service ("Terms") are an agreement between ZorvGuard ("ZorvGuard", "we", "us") and the school, district, or other organization that signs up for or uses ZorvGuard (the "School"). If you accept these Terms on behalf of a School, you confirm that you have authority to bind that School. Staff members who use ZorvGuard through a School's account ("Users") must also follow these Terms.
If the School has signed a separate written agreement with us, such as an order form or a student data privacy agreement, that agreement controls where it conflicts with these Terms.
2. The service
ZorvGuard is classroom management, web filtering, and student safety software. It consists of a web dashboard for school staff and a Chrome extension that the School installs on devices it manages (together, the "Service"). Features include live views of student screens during class, focus mode, screen locking, messages, polls, timers, rooms with join codes, attendance, category filtering, unblock requests, and optional safety alerts.
We may improve, add, or change features over time. If we remove a feature that is material to the School's use of a paid plan, we will tell the School in advance.
3. Accounts and access
- Each User needs their own account. Accounts are created by invitation from ZorvGuard or from a School admin, through a one-time setup link that expires after 7 days.
- Users must keep their passwords secure and must not share accounts. Tell us right away at privacy@zorvcloud.com if you think an account has been accessed without permission.
- The School's device enrollment key is confidential. Share it only with the people who configure the School's devices, and rotate it from the dashboard if it may have been exposed.
- The School is responsible for activity under its accounts, and for removing staff who should no longer have access.
4. School responsibilities
The School agrees to:
- use the Service only on devices and browser profiles that the School owns, manages, or provides for school use;
- give students, and families where appropriate, clear notice that ZorvGuard is used, what it does, and when screens may be viewed;
- obtain any consents required by law, including consent on behalf of parents under COPPA for students under 13, and follow its own policies and applicable law (including FERPA and state student privacy laws);
- decide which staff have access and which features to turn on, and review flagged activity (such as safety alerts) with trained staff; and
- keep its rosters, settings, and contact details accurate.
5. Acceptable use
The School and Users must not:
- use the Service to monitor people without notice, or on personal devices or accounts that the School does not manage;
- use the Service to harass, discriminate against, or harm students or anyone else;
- use information from the Service for anything other than the School's educational, safety, and administrative purposes;
- try to access another school's data, probe or attack the Service, or bypass its security or usage limits;
- copy, resell, sublicense, or reverse engineer the Service, except where the law allows despite this restriction; or
- use the Service in violation of any law.
We may suspend access that violates this section or threatens the security of the Service, and we will tell the School why unless the law prevents us.
6. Safety alerts and filtering
Category filtering, focus mode, and safety alerts are tools to support the School's own supervision. They are not perfect:
- Filtering lists and safety phrases cannot cover every website or every way a student might express distress. Some content will get through, and some harmless content will be blocked or flagged.
- Safety alerts are delivered to the School's admins in the dashboard (and by email, when enabled). ZorvGuard does not monitor alerts on the School's behalf, does not provide 24/7 human review, and does not contact students, families, or emergency services.
- Safety alerts are not a medical or psychological assessment. The School is responsible for having trained staff review alerts and follow its own student safety procedures.
If a student may be in immediate danger, call 911 or your local emergency number. The 988 Suicide & Crisis Lifeline is available by call or text in the United States.
7. School data
"School Data" means the information the School and its Users and students submit to or generate in the Service, including rosters, attendance, alerts, and settings. As between the parties, the School owns School Data. The School gives us permission to process School Data only to provide, secure, and support the Service for the School, as described in our Privacy Policy. We will not sell School Data, use it for advertising, or use it to train AI models.
The School can export attendance and delete School Data at any time from the dashboard. When the School's subscription ends, we delete remaining School Data within 30 days.
8. Trials, plans, and fees
- Free trial. Approved Schools get a free trial, normally 30 days, with every feature. When a trial ends without a paid plan, live classroom tools turn off; web filtering keeps working so students aren't left unprotected while the School decides.
- Paid plans. Prices and plan details are listed on our website or in an order or quote we send the School. Fees are billed in advance for the plan period and are due within 30 days of invoice unless the order says otherwise.
- Taxes. Fees do not include taxes. Tax-exempt Schools should send us their exemption certificate.
- Late payment. If fees are more than 30 days overdue, we may move the School to a limited plan after giving written notice and at least 10 days to pay.
- Price changes. We will give at least 60 days' notice before a price increase takes effect, and it will apply from the School's next plan period.
9. Term and termination
These Terms apply for as long as the School uses the Service. The School may stop using the Service at any time; fees already paid are not refunded except as stated in an order or required by law. Either party may end the agreement if the other materially breaches these Terms and does not fix the breach within 30 days of written notice. We may end a free trial or free use at any time. When the agreement ends, the School's access ends and School Data is deleted as described in section 7. Sections 7, 10, 11, 12, 13, 14, and 16 continue after the agreement ends.
10. Ownership
We own the Service, including its software, design, and documentation. The School gets a limited, non-exclusive, non-transferable right to use the Service during the agreement for its own educational purposes. If the School or its Users send us suggestions or feedback, we may use them without obligation.
11. Confidentiality
Each party will protect the other's non-public information that is marked confidential or that should reasonably be understood to be confidential (including School Data, device enrollment keys, and pricing in an order) with at least reasonable care, and use it only for this agreement. This does not apply to information that is public through no fault of the receiving party, or that the receiving party already knew or developed independently. A party may disclose confidential information when the law requires it, after giving notice where allowed.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care, and in a way that materially matches its description on our website. If the Service does not, the School's remedy is for us to make reasonable efforts to fix it, and if we cannot, for the School to end the agreement and receive a refund of prepaid fees for the remaining paid period.
Except as stated in this section, the Service is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, or will block or detect all harmful content.
13. Limitation of liability
To the fullest extent allowed by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, even if told they were possible; and (b) each party's total liability arising out of this agreement is limited to the amount the School paid ZorvGuard in the 12 months before the event giving rise to the claim, or $100 if the School has paid nothing.
These limits do not apply to a party's indemnification obligations, to the School's obligation to pay fees, or to liability that cannot be limited by law.
14. Indemnification
We will defend the School against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay resulting damages and costs finally awarded. To the extent permitted by the law that governs the School, the School will defend us against third-party claims arising from the School's use of the Service in violation of section 4 or 5. The party seeking defense must notify the other promptly, give it control of the defense, and cooperate reasonably.
15. Changes to these Terms
We may update these Terms. For changes that materially reduce the School's rights, we will email the School's admins at least 30 days before they take effect. Continuing to use the Service after that date means the School accepts the updated Terms. The effective date above shows when these Terms last changed.
16. General
- Disputes. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days.
- Public schools. If the School is a public entity whose own laws require a different governing law, venue, or liability treatment, those requirements apply to the extent they conflict with these Terms.
- Assignment. Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of substantially all of its relevant business, with notice to the other party.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, such as outages of internet or hosting providers, natural disasters, or government action.
- Notices. We send notices to the School's admin email addresses on file. The School sends notices to privacy@zorvcloud.com.
- Entire agreement. These Terms, the Privacy Policy, and any signed order or data privacy agreement are the entire agreement about the Service. If any part is unenforceable, the rest stays in effect. A failure to enforce a term is not a waiver.
